Romalpa clause

Another name for a retention of title clause. The term ‘Romalpa clause’ is derived from the name of the first case in which retention of title clauses attracted significant attention: Aluminium Industry Vaasen BV v Romalpa Aluminium Ltd [1976] 1 WLR 676.

Romalpa clauses have been superseded in functionality by the operation of the PPSA and the ability to register a Purchase Money Security Interest (PMSI).
